Legal Services Engagement
By purchasing a PreVend report, you are engaging PreVend for limited legal services as described below.
1. SCOPE OF ENGAGEMENT
PreVend will provide a legal analysis report (“Report”) reviewing vendor contracts you identify. This engagement is limited to analyzing the vendor materials and delivering a written Report summarizing legal risks, contractual issues, and recommendations. This engagement does NOT include negotiation, litigation, or ongoing advisory services.
2. CLIENT IDENTIFICATION
The client for this engagement is solely the entity or individual purchasing the Report. PreVend owes no duties to any other person or entity. The Report is prepared for your exclusive use.
3. LIMITED LEGAL ADVICE
The Report constitutes legal advice limited to the specific vendor contracts analyzed. You should consult your own counsel before implementing any recommendations or making final decisions. No attorney-client privilege applies to the Report contents.
4. FEES & PAYMENT
Payment is due upon ordering via Stripe. Fees: $49/report or $149/month (up to 5 reports). Reports typically delivered within 2 hours for new vendors, instantly for library vendors.
5. LIMITATION OF LIABILITY
To the maximum extent permitted by law, PreVend's total liability arising from this engagement is limited to the fees paid. PreVend is not liable for indirect, consequential, or incidental damages, including lost profits or business interruption.
6. CONFIDENTIALITY
PreVend treats all materials you provide as confidential and uses commercially reasonable safeguards. See our Privacy Policy and DPA.
7. NO WARRANTY
While we strive for accuracy, PreVend does not guarantee the Report is comprehensive or error-free. Legal analysis depends on the documents provided and may not address all potential issues.
8. TERMINATION
This engagement terminates upon Report delivery. Either party may terminate before delivery. Upon termination, you remain responsible for payment for work performed.
9. GOVERNING LAW
This engagement is governed by California law and State Bar rules. Disputes shall be resolved in San Francisco courts.
10. ACCEPTANCE
By purchasing a Report, you accept these terms and confirm you have authority to engage PreVend on behalf of your organization.
