Client Engagement Letter

You're hiring a lawyer.

I'm Robin Moore, a California-licensed attorney (State Bar No. 284002). This is a client engagement letter. It creates an attorney-client relationship between us. Your communications with me are privileged.

I review and negotiate your vendor contracts.

You send me your vendor's contract documents (order form, MSA, DPA, etc.). I analyze them, identify unfavorable terms, and redline the order form. Depending on the engagement tier, I either deliver a written report or also negotiate directly with the vendor on your behalf.

I review the specific documents you provide. If the vendor has additional terms you don't send me, my analysis won't reflect those.

Scope of this engagement.

Each engagement covers contract analysis and redlining for a specific vendor contract. The Negotiate tier also includes vendor negotiation. I don't litigate disputes or provide ongoing legal advice. If you need those things, you'll need separate counsel.

You are the client. No one else.

You (or your company, if you're purchasing on its behalf) are my client. This engagement doesn't create any attorney-client relationship with your vendor, your customers, or anyone else.

Your information is protected.

As your attorney, I owe you fiduciary duties of confidentiality and loyalty. Your communications with me are protected by attorney-client privilege. I will not use or disclose your information except to provide the services you've engaged me for. If your company requires a Data Processing Addendum for compliance purposes, here's one.

Turnaround

I begin work within 1 business day of receiving your documents. Business hours are Monday–Friday, 9am–5pm Pacific, excluding federal holidays. Negotiation timelines depend on vendor responsiveness, but I keep you updated throughout.

Each engagement is billed at the rate shown on the pricing page at time of purchase. Money-back guarantee.

I use AI tools to assist my analysis.

Your documents are processed using OpenAI's API to help me analyze contracts faster. Your data is not used to train any AI models. I use OpenAI's zero-retention API tier, which means your data is not stored by OpenAI after processing. Attorney-client privilege still applies to everything you send me—the AI tooling doesn't change that.

California law applies.

This engagement is governed by California law. Any disputes will be resolved in the state or federal courts in San Francisco.
